These “Terms and Conditions” govern your use of Seniority1.com (“Seniority1”). They also provide notice of Seniority1’s policies, relating to Membership, Candidate Profiles, Billing, Privacy and Acceptable Use. Please read carefully.
These Terms of Use are between you and Seniority1. If you do not accept the Terms and Conditions stated here in their entirety, do not use Seniority1 or its services. By using any of the services found at Seniority1.com, you are indicating your acceptance to be bound by these Terms and Conditions. Seniority1 reserves the right to revise these Terms and Conditions at any time at its sole discretion by updating this posting. You should visit this page periodically to review the Terms and Conditions, because they are binding on you. The terms “You” and “User”, as used herein, refer to all individuals and/or entities who are accessing this website for any reason.
The Care Connection Registry offered by Seniority1 is intended for use solely by individuals who are seeking to directly hire a private caregiver (“Care Seeker”) and by individuals who are seeking to be hired directly by a Care Seeker (“Caregiver Candidate”).
Seniority1.com is intended for use only by persons 18 years old and older and who have legal capacity to enter into legally binding contracts. This means minors may not use this site. By using the site, you attest and warrant that you are of legal age and capable of entering into binding contracts.back to top
Use of Materials
Seniority1 authorizes You, a Private user, to view and download or print a single copy of the material on Seniority1.com (“the Web Site”) solely for your personal, noncommercial use.
The contents of this Web Site, such as the “look” and “feel” of the Web Site, text, graphics, images, logos, button icons, software and other “Material”, are protected under United State copyright laws. As between you and Seniority1, all Material is the exclusive property of Seniority1 or its content suppliers or customers. The compilation (meaning the collection, arrangement and assembly) of all content on this Web Site is the exclusive property of Seniority1 and protected by U.S. copyright laws. Unauthorized use of the Material may violate copyright, trademark, patent and other laws. You must retain all copyrights, trademarks, service marks, and other proprietary notices contained in the original Material on any copy you make of the Material. You may not sell or modify the Material or reproduce, display, publicly perform, distribute, or otherwise use the Material in any way for any public or commercial purpose. The use of the Material on any other web site or in a networked computer environment for any purpose is prohibited.
You shall not copy or adapt the HTML or other code that Seniory1.com creates to generate its pages. It is also protected by Seniority1’s copyrights.

Acceptable Site Use
General Rules for Care Seekers and Caregiver Candidates
Use of any password-protected area of the web site is restricted to the registered user who has been given permission, and who has created a user-generated user name and password, to enter such area ONLY. This user name and password cannot be distributed to others and the registered user is responsible for any and all damages to Seniority1 resulting from the distribution of his or her user name and/or password. You are responsible for maintaining the confidentiality of your information including user name and password. You shall be responsible for all users of your registration, whether or not authorized by you. You agree to immediately notify Seniority1 of any unauthorized use of your registration, user name or password.
Caregiver Candidates are only permitted to post a profile for him or herself. All information contained in your profile must be truthful and accurate, not misleading in any way, and should contain sufficient detail. Profiles must contain enough information to allow Care Seekers to make a reasonable informed decision as to whether to contact you for the purposes of your potential employment by them.
We cannot monitor every profile posted to Seniority1.com, nor do we take responsibility for the content posted by our users. However, we do randomly monitor profiles to ensure compliance with these Terms and Conditions of Use.
Profiles found to be in violation of any of the conditions may be removed without warning. Interpretation of the rules is at the sole discretion of Seniority1. Posting a profile is a privilege. Seniority1 reserves the right to suspend that privilege on an individual basis for any reason. User waives all rights and remedies for any refund of fees paid if in it’s sole discretion Seniority1 removes a posting for violating our posted terms and conditions.back to top
Prohibited Site Use
THE CARE CONNECTION REGISTRY OFFERED BY SENIORITY1 IS INTENDED FOR USE SOLELY BY INDIVIDUALS WHO ARE SEEKING TO DIRECTLY HIRE A CAREGIVER (CARE SEEKER) AND BY INDIVIDUALS WHO ARE SEEKING TO BE HIRED DIRECTLY BY A SENIOR OR THEIR FAMILY (CAREGIVER CANDIDATE).
UNDER NO CIRCUMSTANCES MAY AN EMPLOYMENT AGENCY, PLACEMENT AGENCY, HOME CARE AGENCY, HOME HEALTH AGENCY, OR ANY OTHER AGENCY, COMPANY OR ORGANIZATION OF ANY KIND, REGISTER DIRECTLY OR INDIRECTLY WITH SENIORITY1.COM, NEITHER AS A CAREGIVER CANDIDATE NOR AS A CARE SEEKER, OR OTHERWISE MAKE ANY USE OF THIS WEB SITE OR ITS SERVICES.
THERE WILL BE NO TOLERANCE OF USE BY AN EMPLOYMENT AGENCY, PLACEMENT AGENCY, HOME CARE AGENCY, HOME HEALTH AGENCY, OR ANY OTHER AGENCY, COMPANY OR ORGANIZATION OF ANY KIND AND A STRONG ENFORCEMENT POLICY IS IN PLACE FOR ALL CASES OF PROHIBED USE OF SENIORITY1.COM OR ITS SERVICES BY ANY TYPE OF AGENCY. WE SYSTEMATICALLY AND REGULARLY USE TECHNOLOGY TO DETECT AND TRACK VIOLATORS.
In connection with your use of the Web Site, you will not:
Place any contact information in any open text field of the Site. Contact information is to be entered only in areas designated by Seniority1.
Post, transmit, distribute, store, upload, or destroy material knowingly (i) in violation of any applicable local, state, national, or international law or regulation, or (ii) in a manner that will infringe the copyright, trademark, trade secret, patent or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others.
Post or transmit any message, information, photo, data, text, software or images, or other materials (“Content”) that is unlawful or which a reasonable person would consider harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, hateful, racially or ethically offensive or otherwise objectionable or that may invade another’s right of privacy or publicity. Nor will you upload, post or transmit any pornographic or obscene images or files.
Impersonate any person or entity, including with limitation a Seniority1 employee or agent, an authorized user of Seniority1’s services, a candidate or otherwise misrepresent your affiliation with any person or entity.
Delete or modify any material posted by any other person or entity not related to you.
Enter any communication on the Web Site that encourages users to terminate their use of the Web Site or to use a competitor’s service.
You may not use any device, software, or routine to mechanically “spider”, “scrape” or otherwise extract data posted to Seniority1.com. Such use of any program may result in the termination of user account, with no refund of membership fees, and may subject user to any or all legal action at our disposal.
Printing out or otherwise copying or using any personally identifiable information about candidates for purposes other than consideration of the candidates for potential employment by you is strictly prohibited.
Communicate, send, or place unsolicited e-mail (SPAM), telephone calls, mailings or other contacts to posting individuals and entities. You may not post any material of a promotional nature. Register an e-mail address that you do not own or for which you do not have express permission of the owner to register. Seniority1 does not tolerate unsolicited commercial e-mail (SPAM). Seniority1 users involved in such activity will have their accounts suspended, with no refund of membership fees and Seniority1 will take any and all legal action at their disposal.
Knowingly violate or attempt to violate the security of the Web Site, including, without limitation knowingly: accessing data not intended for such user or logging into a server or account that the user is not authorized to access; attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; attempting to interfere with service to any user, host or network, including, without limitation, submitting a virus or corrupted data to the Web Site, overloading, continuous posting of repetitive text, “flooding”, “spamming”, “mail bombing” or “crashing”; sending unsolicited advertising, promotional materials, e-mail, “junk mail”, “chain letters”, or any other form of solicitation; or forging any TCP/IP packet header or any part of the header information in any e-mail or posting. Violations of system or network security may result in civil or criminal liability. Seniority1 will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.
Knowingly take any action that imposes an unreasonable or disproportionately large load on this Web Site’s infrastructure.
Except as permitted hereunder, aggregate, copy or duplicate in any manner any of the materials or information available from the Web Site, without prior written consent.back to top
Specific Damage
In light of the difficulties in proving a violation of these Terms and Conditions, the costs associated with proving a violation of these Terms and Conditions and the injury to Seniroity1 that results from a violation of these Terms and Conditions, you acknowledge and agree that you will pay to Seniority1 a sum of not less than $5.00 for each violation of these Terms and Conditions and the Acceptable Site Use provisions and Prohibited Site Use provisions contained therein. For purposes of this section, each individual instance of unauthorized copying, distributing, or use of Seniority1’s property, including but not limited to, individual profiles, each individual instance of spamming through the use of information obtained from the Seniority1 web site shall constitute a separate and distinct violation of these Terms and Conditions and you, therefore, agree to pay Seniority1 a sum of not less than $5.00 for each such violation. By way of example, if a user, without authorization, downloads 10,000 copies of any item of Seniority1 property or sends 10,000 e-mails that constitute spam, as determined and measured solely by Seniority1, then the user agrees to pay Seniority1 a sum of $50,000.00 for such conduct.back to top
Costs Associated with the Enformcement of these Terms and Conditions
The user further agrees to be responsible for all costs incurred by Seniority1 in enforcing these Terms and Conditions. Such costs include, but are not limited to, Seniority1’s reasonable attorneys’ fees, all litigation costs associated with the enforcement of these Terms and Conditions, all fees paid to experts in determining, proving and litigation any violation of these Terms and Conditions and any other costs incurred by Seniority1 in the enforcement of these Terms and Conditions.back to top
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of California, as if entered into and to be wholly performed in California and without regard to California conflicts of law principles, and any claim or suit arising out of or relating to these Terms and Conditions may be brought and maintained only in a court of competent subject matter jurisdiction in the Commonwealth of California, with each party hereby voluntarily submitting to the personal jurisdiction thereof.back to top
User Information
In addition to the terms and conditions that may be set forth in any privacy policy on this Web Site, you understand and agree that Seniority1 may disclose to third parties, on an anonymous basis, certain aggregate information resulting from information that you place on the Web Site. Seniority1 reserves the right to offer third party services and products to you based on the preferences that you identify; such offers may be made by Seniority1 or by third parties. User Submissions
Seniority1 does not represent or guarantee the truthfulness, accuracy, or reliability of communications posted by users or endorse any opinions expressed by users. You acknowledge that any reliance on material posted by other users will be at your own risk.
While Seniority1 acts as a passive conduit for the online publication of user-submitted profiles, and allows the opportunity for users to exchange information, ideas and opinions, be advised that Seniority1 has no obligation to screen profiles, communications or information in advance and is not responsible for screening, editing or monitoring material posted by users and postings do not necessarily reflect the views of Seniority1. If notified by a user of communications, which allegedly do not conform to these Terms and Conditions, Seniority1 may investigate the allegation and determine in good faith and its sole discretion whether to remove or request the removal of the communication. Seniority1 has no liability or responsibility to users for performance or nonperformance of such activities. Upon written notice, Seniority1 reserves the right to expel users and prevent their further access to the Web Site for violating the Terms and Conditions or the applicable laws and the right to remove communications which are abusive, illegal, or disruptive. Seniority1 may take any action with respect to user-submitted information that it deems necessary or appropriate in its sole discretion if it believes it may create liability for Seniority1. To the fullest extent permitted by applicable laws, we exclude all responsibility and liability for the postings or for any losses or expenses resulting from their use and/or appearance on the Web Site.
By submitting content to any public or non-public area of the Web Site, including but not limited to Candidate profiles, message boards, forums, contests or testimonial areas, you grant Seniority1 and its affiliates the royalty-free, perpetual, irrevocable, sub-licensable (through multiple tiers), non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and /or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content. You also warrant that the holder of any rights, including moral rights in such content, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any subscriber to access, display, view, store and reproduce such content for personal use. Subject to the foregoing, the owner of such content placed on the Web Site retains any and all rights that may exist in such content.back to top
Membership And Billing
Seniority1 offers various levels of memberships for its users. The following details the rules governing membership and billing:
Caregiver Candidates
Basic membership for Caregiver Candidates is FREE. Basic membership includes posting of a personal work profile, accessing jobseeker related resources and educational training material, and those areas Seniority1 may designate as FREE access areas for registered Caregiver Candidates.
Seniority1 may offer Caregiver Candidates enhanced membership services either through Seniority1 or other third-party providers. Some of these enhanced services may be offered for a fee. Such enhanced services are optional and may include but are not limited to: preferential profile placement and educational training modules. These services may be offered on a pay-for-use basis. User agrees by accessing these services to be responsible for all fees associated with said services and that since these services are delivered on a pay for use basis that user waives any and all rights to refunds once they have accessed and or used such services
After Caregiver Candidates have registered on the Site, their membership will remain active indefinitely as long as the site is accessed and the Caregiver Candidate logs on with their user name and password at least once annually and that their membership is in “Good Standing” as defined as a membership that is not in violation of the Terms and Conditions for use of the Site.
In order to maintain a database of current and accurate Caregiver Candidate profiles, profiles will remain active for one month. Approximately 5 days prior to the profile expiring, the Caregiver Candidate will receive an e-mail questioning whether the Caregiver Candidate would like to keep their profile active for another month. A link will be provided in the e-mail to facilitate their decision. Caregiver Candidates can also log onto the Site directly to indicate that they would like to keep their profile active for the next month. Profiles can be edited, activated, deactivated at any time with no fee.
Whether a registered Caregiver Candidates’ profile is Active or Inactive their membership will remain active and will have access to all other areas of the site designated for Caregivers including Caregiver Forum and training materials. Should a Caregiver Candidate fail to access the Site and log in using their user name and password for a duration of one year, their membership will become inactivated. Should that Caregiver Candidate wish to utilize the services of Seniority1 after the passing of one year, he or she will be required to re-register with Seniority1 and create a new profile if applicable.
Care Seekers
Seniority1 makes available Caregiver Candidate profile information to all Seniority1.com users, registered and unregistered, free of charge. This free information will not include any contact information for the Caregiver Candidates. Seniority1 charges Care Seekers a membership fee which allows full access to the Caregiver Candidate profiles, including contact information. Care Seekers will have a closed-ended 30 day membership which will commence immediately upon verification of credit card payment approval. Care Seekers will have an option to choose a longer duration membership at a discounted rate. Seniority1 will not automatically renew memberships at the end of the term. No discounts will be given for subsequent membership requests, and it is therefore recommended that Care Seekers take advantage of the longer membership periods.
Care Seekers agree to pay Seniority1 all charges at the prices then in effect for any use of the Site. Care Seekers authorize Seniority1 to charge their Visa or MasterCard payment provider for use of the Site. All payments must be made by credit card via the Site.
Special Notice about Credit Card Fraud: If you use another person's credit or debit card to purchase a Services, and if the card number is processed by our system, and if the payment is charged back against us, and if the cardholder later indicates that your use of their card to make the purchase was without authorization, then you acknowledge using computers and computer networks located in Orange County, California (USA) to make such unauthorized transactions, and: You irrevocably: (i) submit to personal jurisdiction and venue in the Circuit and District Courts of Orange County, California (USA), (ii) you waive any defense based on lack of personal jurisdiction or improper forum or venue, (iii) you consent to service of process by first class mail, fax transmission and/or email to your address registered with us, and (iv) you agree to pay all costs and expenses of enforcement, including attorney fees of not less than $1,000 per unauthorized purchase, or as otherwise determined by the Court, plus court costs and expenses of litigation. Be on notice that we have zero tolerance and a strong enforcement policy on all cases of payment card fraud.
Seniority1 may offer Care Seekers enhanced services either through Seniority1 or other third-party providers. It is highly recommended that Care Seekers utilize these services, or similar services offered by other parties, in order to maximize the potential of acquiring and sustaining a long and successful caregiver relationship. Some of these enhanced services may be offered for a fee payable to either Seniority1 or to a third-party. Such enhanced services are optional and may include but are not limited to: background check verifications, payroll and tax services, reverse mortgage services, and educational training modules. User agrees by accessing these services to be responsible for all fees associated with said services should they be payable to Seniority1. (See section on Third Party Links)
Seniority1 reserves the right to suspend or terminate a user’s membership for any violation of Seniority1’s Terms and Conditions. Such termination or suspension may include termination of user’s access to view profiles. Should a user’s membership be terminated for violation of the Seniority1 Terms and Conditions, user waives any and all right to receive refunds for membership fees, regardless of whether member has paid in advance for membership privileges.
Refund Policy/Gaurantee
Seniority1 is confident that Care Seekers will be able to find a satisfactory private caregiver match through the Care Connection Registry. If however, a satisfactory match is not found after all of the following criteria are met, then Seniority1 will refund the fee paid for the membership:
- 1. Customer must contact Seniority1 in writing no later than 2 weeks after their Care Connection Registry membership expires to request a refund of membership fees. Letter must include customer’s full name and address
- 2. Customer must supply copies of all of the following and include them in the mailing:
- a. Full names of at least 3 Caregiver Candidates found on the Care Connection Registry who were interviewed and the dates of interview
- b. Copies of all completed interview forms
- c. Proof of at least 1completed background check
After receipt of all the above stated requirements, Seniority1 will review and confirm information. If all criteria are met, Seniority1 will issue a credit for the customer’s membership fee. Fees will be credited back to the original credit card used only.
Under all other circumstances there will be no refunds of fees charged for membership since registrants have immediate access to all candidates contact information. At the sole discretion of Seniority1, refunds or credits may be granted in extenuating circumstances, and Seniority1 reserves the right to request proof of such circumstances prior to any refund or credit being granted.back to top
Pricing Changes
Seniority1 reserves the right the make changes to the billing procedures and/or pricing changes at any time. User agrees to be bound by any changes to the billing procedures and/or pricing changes.back to top
Third Party Services
Seniority1 may make a third party services available to Care Seekers and Caregiver Candidates. Third party services may include but are not limited to background check verifications, payroll and tax services, reverse mortgage services, and training modules. Use of any third party service is voluntary. If you decide to use or access information provided by a third party service offered through the Site, you do hereby represent, understand and expressly agree that Seniority1 is a conduit for the third party service and does not have control over or assume any responsibility for the quality, accuracy, or reliability of the information provided by the third party service.back to top
Fair Credit Reporting Act
If you decide to use or access information provided by a third party background check verification service offered through the Site, you agree that you will comply with the Fair Credit Reporting Act ("FCRA"), which can be found at http://www.ftc.gov/os/statutes/fcrajump.htm. Seniority1 does not assume and expressly disclaims any liability that may result from the use of information provided by a third party background check service.back to top
Seniority1 Liability
Seniority1 is only a venue. The Web Site acts as a venue for (i) Caregiver Candidates to post their work profiles and (ii) for Care Seekers to view Caregiver profiles for the purpose of evaluating whether to consider hiring for a private caregiver position for themselves or a family member. Seniority1 does not screen or censor the profiles or other information. Seniority1 is not involved in the actual transaction between Caregiver Candidates and Care Seekers. As a result, Seniority1 has no control over the quality, safety or legality of the profiles posted, the truth or accuracy of the listings, the ability of the Care Seeker to offer job opportunities to candidates or the ability of candidates to fill job openings. In addition, note that there are risks, including but not limited to the risk of physical harm, financial abuse, elder abuse, of dealing with strangers, foreign nationals, underage persons or persons or people acting under false pretenses. You assume all risks associated with dealing with other users with whom you come in contact with through the Web Site. Because user authentication on the Internet is difficult, Seniority1 cannot, and does not, confirm that each user is who they claim to be. We urge you to perform your own background screenings and investigations of any person you come into contact with through this Web Site. We may provide you access to third party background check services but we do not warrant the accuracy of these services and we caution you that such background checking services may not be complete or accurate and therefore should be used only as a part of an overall investigation of any candidate or perspective employer.
Because Seniority1 cannot, and does not, become involved in user-to-user dealings or control the behavior of participants on Seniority1.com, in the event that you have a dispute with one or more users, you release Seniority1 (and our agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code d1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”
You acknowledge that Seniority1 does not control, and is not under any legal obligation to control the information that is made available through Seniority1.com Web Site, and is provided by other users. By its very nature, other people’s information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that you will use caution and common sense when using this Web Site.
The Material may contain inaccuracies or typographical errors. Seniority1 makes no representations about the accuracy, reliability, completeness, or timeliness of the Web Site of the Material. The use of the Web Site and the Material is at your own risk. Changes are periodically made to the Web Site and may be made at any time.
You acknowledge and agree that you are solely responsible for the form, content and accuracy of any profile or other material contained therein placed by you or your agents on the Web Site. Caregiver Candidates are solely responsible for their postings on the Web Site.
Seniority1 does not warrant or guarantee that Candidate profiles will be viewed by any specific number of users, or that it will be viewed by any user. Seniority1 is not to be considered to be an employer with respect to your use of the Web Site and Seniority1 shall not be responsible for any employment decisions, for whatever reason made.
Seniority1 does not warrant or guarantee that there will be a specific number of Caregiver Candidates, or any Caregiver Candidates, available at any given time, in any particular geographic area of the United States.back to top
Taxes
You are responsible for timely filing of any required returns and payments of any and all applicable taxes arising from or relating to your use of Seniority1.com or the Care Connection Registry and you agree to defend, indemnify and hold Seniority1 harmless from any and all tax claims.back to top
Disclaimer of Consequential Damage
In no event shall Seniority1 be liable to any user or entity for any direct, indirect, special, consequential or other damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data) that are related to the use of, or the inability to use, the content and functions of the Site or any linked Website, whether based on breach of contract, breach or warranty, tort, negligence, product liability or otherwise, even if advised of the possibility of such damage.
Seniority1 does not warrant that the web site will operate error-free or that the Web Site and its server are free of computer viruses or other harmful mechanisms. If your use of the Web Site or the material results in the need for servicing or replacing equipment or data, Seniority1 is not responsible for those costs.
The Web Site and Material are provided on an “as is” basis without any warranties of any kind. Seniority1, to the fullest extent permitted by law, disclaims all warranties, whether express or implied, including the implied warranties of merchantability and fitness for a particular purpose. Furthermore, there is no warranty against interference with your enjoyment of the information or against infringement. Termination
Seniority1 reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to deletion of your information from this Web Site and/or immediate termination of your registration with or ability to access the Web Site and/or any other service provided to you by Seniority1, upon any breach by you of these Terms and Conditions or if Seniority1 is unable to verify or authenticate any information you submit to the Web Site registration with or ability to access the Web Site.
No Professional Relationship
Seniority1 does not dispense professional advice, skill or judgment of a regulated or professional nature, including, without limitation, legal, medical, accounting, financial or other professional calling. All materials are provided for information only and you should consult with your own professional advisers regarding your unique and personal situation.
Privacy
Seniority1 will only use the information you provided on the site in accordance with our Privacy Policy. For more information read our complete Privacy Policy.

Indemnity
You agree to defend, indemnify, and hold harmless Seniority1, it officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Material or your breach of the terms of these Terms and Conditions. Seniority1 shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.back to top

Seniority1 makes no claims that the Materials may be lawfully viewed or utilized outside of the United States.
